Agreement

These Terms of Service ("Terms") govern your access to and use of Palate ("Palate," "we," "us," or "our"), a social restaurant review service operated by Palate. By creating an account or using Palate, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Palate.

Eligibility

You must be at least 13 years old to use Palate. By using the service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

Your account

You create and manage your account through Clerk, our authentication provider. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly through our support page if you believe your account has been compromised.

Your content

Palate lets you post content such as restaurant grades, written reviews, bios, lists, and photos ("User Content"). You retain ownership of your User Content. By posting User Content on Palate, you grant Palate a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute your User Content solely to operate and provide Palate and as otherwise described in our Privacy Policy.

You agree that your User Content will not:

  • Violate any law or third-party rights
  • Be false, misleading, defamatory, harassing, or abusive
  • Include content you do not have the right to share
  • Contain malware or attempt to disrupt Palate

We may remove or restrict User Content that violates these Terms or that we reasonably believe harms Palate or other users.

Acceptable use

You agree not to:

  • Use Palate for any unlawful purpose
  • Scrape, crawl, or access Palate through automated means without permission
  • Attempt to gain unauthorized access to Palate, accounts, or systems
  • Interfere with or disrupt the service or its infrastructure
  • Impersonate another person or misrepresent your affiliation
  • Use Palate to send spam or unsolicited communications

Third-party services

Palate integrates with third-party services, including Clerk for authentication and Google for restaurant and place information. Your use of those services may be subject to their separate terms and policies. Palate is not responsible for third-party services we do not control.

Intellectual property

Palate and its branding, design, software, and other materials (excluding User Content) are owned by Palate or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from Palate except as permitted by these Terms or with our prior written consent.

Termination

You may stop using Palate at any time and may delete your account through account settings where available. We may suspend or terminate your access to Palate if you violate these Terms or if we reasonably believe your use poses risk to Palate, other users, or third parties. Sections that by their nature should survive termination will survive.

Disclaimers

Palate is provided "as is" and "as available." To the fullest extent permitted by law, Palate disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that Palate will be uninterrupted, secure, or error-free, or that reviews, grades, or recommendations will be accurate or complete.

Limitation of liability

To the fullest extent permitted by law, Palate and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of Palate. Our total liability for any claim arising out of or relating to these Terms or Palate will not exceed the greater of one hundred U.S. dollars (USD $100) or the amount you paid us, if any, in the twelve months before the claim arose.

Governing law and disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles. You agree that disputes arising out of or relating to these Terms or Palate will be resolved in the state or federal courts located in Colorado, and you consent to their personal jurisdiction.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of Palate after changes become effective means you accept the updated Terms.
